These Terms of Service govern access to and use of the Kurzly platform. By using the Service you indicate your agreement to the Terms. If you do not agree, you must not access or use the Service.
1. Acceptance of Terms
- LegAI Assistant, Inc. (“LegAI”, “Company”, “we”, or “us”) provides the Kurzly software-as-a-service platform (“Service”), including case and evidence management, timelines, AI analysis (summaries, Legal DNA, scenario simulation, legal research), case chat, plans and tasks, lawyer briefs, export, shared brief links, collaboration (editors/viewers), guest/trial access, and community features (posts, comments, sharing anonymised case content, reporting). By creating an account, using guest/trial access, or otherwise using the Service you agree to these Terms of Service (“Terms”).
- If you are using the Service on behalf of an organisation you represent that you have authority to bind that organisation to the Terms. You must be at least 18 years old to use the Service.
2. Accounts and Responsibilities
- You must provide accurate registration information and keep it up to date. Guest or trial use may be subject to usage limits and data retention as described in the Privacy Policy.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- You must promptly notify LegAI of any unauthorised use of your account or other security breach.
3. Permitted Use
- Use the Service only for lawful purposes related to case and evidence management, legal matter organisation, community participation (in accordance with the Community Guidelines), and related workflows.
- Do not copy, modify, reverse engineer, or attempt to gain unauthorised access to the Service or third-party integrations (e.g. Google Drive).
- Ensure your use complies with applicable law, including privacy and data protection regulations.
4. Customer Content
- You retain ownership of documents, files, evidence, timelines, chat logs, plans, community posts and comments, and other content (“Content”) you submit or generate in the Service. Content includes data you upload, evidence linked from Google Drive, AI-generated outputs (summaries, Legal DNA, analyses) created within your workspace, and any content you share to the community (subject to the Community Guidelines).
- You grant LegAI a nonexclusive, worldwide licence to host, process, back up, and display Content solely to operate and provide the Service (including AI processing, export, shared brief links, and community features).
- You represent that you have all rights necessary to submit the Content and that doing so does not infringe any third-party rights.
5. Subscriptions and Fees
- Paid plans are billed according to pricing shown at checkout or agreed in writing. Taxes may apply.
- Plans auto‑renew unless cancelled before the end of the billing cycle. Unpaid invoices may result in suspension or termination.
6. Plan Limits, AI Credits, and Fair Use
- Plan‑specific limits (e.g., number of cases, evidence per case, monthly AI credits) apply. Current limits are shown in the product and may change with plan changes.
- Different AI operations consume different amounts of credits. For example, a simple chat message may use 1 credit, while an in‑depth evidence analysis may use 3 credits and a comprehensive Legal DNA report may use 5 or more credits. The current credit costs for each operation are displayed in the product.
- We may throttle, queue, or block actions that exceed plan limits, and may offer upgrade options for higher limits.
7. Billing, Renewals, Cancellation, and Refunds
- Payments are processed by our payment provider (e.g., Stripe). We do not store full payment card numbers.
- You can manage or cancel your subscription through the customer billing portal accessible from the app. Cancellations take effect at the end of the current billing period unless otherwise specified.
- Except where required by law, fees are non‑refundable. Downgrades may take effect at the next renewal. Where offered, trials or promotional credits are subject to their stated terms.
8. Service Availability and Support
- LegAI endeavours to provide a reliable service but does not guarantee uninterrupted availability.
- Scheduled maintenance or emergency downtime may occur. We will provide advance notice for planned maintenance when practicable.
- Basic support is available via support@leg-ai.com. Response times may vary by plan.
- Authorised personnel may access user data only to the extent necessary to investigate incidents or provide support, and such access is logged and reviewed.
9. No Legal Advice; Not a Law Firm
- LegAI Assistant, Inc. is not a law firm or a substitute for the advice of a licensed attorney. The Kurzly platform is a self-help legal information and case-organisation tool. We do not provide legal advice, legal opinions, or legal representation, and we do not select or recommend particular forms, strategies, or filings for your specific situation. No attorney-client relationship, fiduciary relationship, or solicitor-client relationship is created by your use of the Service, by communicating with our support staff, or by any AI-generated output.
- AI-generated outputs (including summaries, Legal DNA, risk/opportunity analyses, scenario simulation, legal research results, lawyer briefs, drafted language, and chat responses) are produced algorithmically and may be incomplete, inaccurate, out of date, or otherwise unsuitable for your matter. They are provided for general informational and organisational purposes only and do not constitute legal advice. You are solely responsible for the decisions you make based on them.
- You should consult a licensed attorney in your jurisdiction before relying on the Service for any specific legal question, court filing, regulatory submission, deadline calculation, or other legally significant action. If your matter is time-sensitive, consult an attorney immediately and do not rely on the Service to meet a deadline.
- To keep the workspace consistent, the Service may automatically regenerate AI outputs (for example, converting a plan into your preferred language). Such regeneration does not change the fact that all AI content is provisional and must be independently verified by you or by your attorney.
- Communications with the Service are not protected by the attorney-client privilege or the work-product doctrine. Do not assume that information you upload, paste, or otherwise submit will be treated as privileged.
10. Confidentiality
- Each party agrees to keep the other party’s confidential information secure and use it only for the purpose of fulfilling these Terms.
- LegAI implements administrative, technical, and organisational measures to safeguard Content, including encryption, access controls, and monitoring.
11. Intellectual Property
- The Service, including software, design, and documentation, is the exclusive property of LegAI or its licensors.
- You may not copy, modify, distribute, or create derivative works of the Service. Feedback provided to LegAI may be used without restriction.
12. Third‑Party Services
- The Service integrates with third‑party products such as Google (sign-in, Drive for evidence import), Google Cloud/Vertex AI for AI features, Firebase (auth, database, storage), analytics tools, and payment platforms (e.g. Stripe).
- Use of third‑party services is governed by their respective terms and privacy policies. LegAI is not responsible for third‑party products or availability.
13. Copyright Complaints (DMCA)
- LegAI complies with the Digital Millennium Copyright Act ("DMCA"). If you believe that material accessible on or from the Service infringes your copyright, you may submit a written notice to our Designated Agent that includes: (1) a physical or electronic signature of the copyright owner or a person authorised to act on their behalf; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it (such as the URL or workspace identifier); (4) your contact information (address, telephone number, and email); (5) a statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorised to act on their behalf.
- DMCA Designated Agent: LegAI Assistant, Inc., Attn: DMCA Agent, 1111B South Governors Avenue, Dover, DE 19904, USA. Email: legal@leg-ai.com. (Registration of this agent with the U.S. Copyright Office is pending; see the Copyright Office DMCA Designated Agent Directory at dmca.copyright.gov for the current registered information.)
- Counter-notice: If your content was removed and you believe the removal was in error, you may submit a counter-notice including the elements required by 17 U.S.C. § 512(g). We may restore the material if the original complainant does not file a court action within the time period required by law.
- Repeat-infringer policy: We may terminate accounts of users who are determined to be repeat infringers.
- Misuse of the DMCA process — including the submission of materially false notices — may result in liability under 17 U.S.C. § 512(f).
14. Suspension and Termination
- LegAI may suspend or terminate access if these Terms are violated, fees are unpaid, or use of the Service poses a security risk.
- You may terminate your account at any time. Upon termination LegAI will deactivate access and delete or anonymise Content in accordance with the Privacy Policy and applicable law.
15. Disclaimers and Limitation of Liability
- The Service is provided “as is” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non‑infringement.
- To the fullest extent permitted by law LegAI is not liable for indirect, incidental, consequential, special, or punitive damages, nor for loss of profits or data.
- LegAI’s aggregate liability under these Terms will not exceed the fees paid by you during the three months immediately preceding the event giving rise to the claim.
16. Indemnification
- You agree to indemnify and hold harmless LegAI, its officers, employees, and affiliates from any claims arising out of your Content, your use of the Service, or your violation of these Terms.
17. Data Deletion and Retention
- When you delete a case or evidence in the app, associated records (including AI outputs, chat, and plan data) and stored files are scheduled for deletion. Shared brief links may be invalidated. Community posts or comments you have made may remain unless you delete them or we remove them under the Community Guidelines. Report and moderation records may be retained for safety and compliance. Some logs may be retained for a limited period for security and accounting purposes.
- Upon account closure, workspace content is deleted or anonymised in accordance with the Privacy Policy and applicable law. Guest or trial data may be retained or removed as described in the Privacy Policy.
18. Changes to the Terms or Service
- LegAI may update these Terms at any time. Material changes will be communicated via email or in‑product notice at least 14 days before taking effect.
- Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
19. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict of law principles.
- Any dispute arising out of or relating to the Service or these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
- If you are located in the European Union/EEA, the Republic of Korea, or another jurisdiction outside the United States, mandatory consumer-protection or other laws of that jurisdiction may apply to you to the extent they cannot be waived by agreement.
